1. Acceptance of Terms

By accessing and using the FounderAI website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on FounderAI's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software on the website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations

3. Services Description

FounderAI provides AI infrastructure assessment and advisory services, including but not limited to:

• AI readiness assessments (Pilot, Standard, Enterprise)
• Online academy courses and training programs
• Masterclass cohort sessions
• Certification programs

Services are provided on an "as-is" basis. We reserve the right to modify, suspend, or discontinue services at any time.

4. Payment Terms

• Payment is due in full at the time of purchase unless other arrangements are made in writing
• Payments are processed securely through Stripe and are non-refundable except as specified in individual service terms
• Invoices will be provided via email after payment confirmation
• We reserve the right to refuse service or cancel accounts for non-payment
• Any applicable taxes will be added to the invoice

5. Intellectual Property Rights

The materials on FounderAI's website and within our services are the exclusive property of FounderAI or its suppliers. All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents related to our services are owned by FounderAI.

Content you provide to us (feedback, suggestions, documents for assessment) grants us the right to use such content in providing and improving our services, without compensation to you.

6. User Accounts

If you create an account on our website, you are responsible for:

• Maintaining the confidentiality of your password and account information
• All activities that occur under your account
• Providing accurate, current, and complete information
• Updating your information as needed

You agree not to share your account credentials with others or to access accounts without authorization.

7. Limitation of Liability

To the fullest extent permitted by law, FounderAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, arising out of or related to:

• Use or inability to use our services
• Any materials obtained through our services
• Unauthorized access to your account or data
• Third-party actions or services integrated with ours

In no case shall our total liability exceed the amount you paid for the service in question.

8. Disclaimers

The materials and services on FounderAI are provided on an "as-is" and "as-available" basis. FounderAI makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Assessment results and recommendations are based on information provided and are not guarantees of specific business outcomes.

9. Indemnification

You agree to indemnify, defend, and hold harmless FounderAI from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our website or services
• Your violation of these terms
• Your violation of applicable laws or regulations
• Content you provide or post

10. Governing Law & Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of the Province of Alberta, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts located in Calgary, Alberta.

11. Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to resolve any disputes informally. If informal resolution fails, either party may pursue legal remedies available under applicable law.

12. Termination

FounderAI reserves the right to terminate or suspend your account and access to our services immediately, without notice, for conduct that:

• Violates these terms
• Is fraudulent, illegal, or harmful
• Violates the rights of others
• Results in non-payment

13. Severability

If any provision of these terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in effect.

14. Entire Agreement

These terms constitute the entire agreement between you and FounderAI regarding the use of our website and services, superseding any prior or contemporaneous agreements, understandings, or communications.
